The problem
A 401(k) means a plan document, a recordkeeper, testing and fiduciary duties, and it cannot cover contractors anyway. A SIMPLE or SEP still leaves your 1099 workforce out. So most small businesses offer nothing, and their best contractors drift to whoever does.
Not a plan, not a sponsor

How partners are paid
Two models, and only two. Both are tied to the software, never to money moving into an account.
Revenue share on paid subscriptions
A percentage of subscription revenue from users who arrive through your integration and pay for the Gigaverse app. It is the same whether or not they ever open or fund a retirement account.
Flat per-seat / SaaS licence fee
You license the platform for your workers or clients at a fixed price per seat (or a flat annual fee) and can offer it to them free or bundled. No money changes hands based on what anyone saves.
We never pay

- Any share of advisory fees
Why: Compensation that scales with money moving into a securities product, paid to someone who is not registered, is the fact pattern for unregistered broker activity under Exchange Act §15(a) and FINRA Rule 2040. Once Gigaverse is a registered investment adviser it also cannot share advisory fees with unregistered parties, and paid promotion falls under SEC Marketing Rule 206(4)-1 (written agreement and disclosure above $1,000 in any 12 months) plus state solicitor rules. Tying partner pay to software subscriptions and seats keeps every partner on the right side of those lines without needing a securities licence.

Business owners license Gigaverse seats at a flat price. Gigaverse does not pay you, and never pays anyone, per account opened, per enrollee or per dollar saved, because compensation tied to securities transactions is the unregistered-broker fact pattern under Exchange Act §15(a) and FINRA Rule 2040. Common questions
Am I setting up a retirement plan?
No. Your workers each open their own Roth IRA, which is an individual account. You are licensing software seats, not sponsoring a plan. This is educational information; check with your own advisor or counsel.
Can I contribute or match?
Not through this arrangement. Employer contributions would change the character of the benefit and raise plan questions. The seat licence covers the app; workers fund their own accounts.
Does it work for W-2 employees too?
Anyone can use the app and open a Roth IRA, subject to IRS income limits. The tax tooling is built for 1099 income, so contractors get the most from it.
Who holds the money?
A FINRA/SIPC-member broker-dealer acting as custodian. Neither Gigaverse nor your business ever holds worker funds.
Is Gigaverse a registered investment adviser?
Not yet. Gigaverse AI, Inc. is pursuing SEC registration. Until then the app provides educational tools and account access, not personalised investment advice.
