State auto-IRA mandates now reach W-2 employers of every size, and none of them cover a single 1099 contractor. Gigaverse plugs into your earnings feed and gives contractors a portable Roth IRA under your brand.

The problem

As of January 1, 2026, CalSavers covers California employers of all sizes, and a dozen other states run similar mandates. Every one of them excludes independent contractors. Your W-2 workers have a retirement default; the contractors you pay through the same system have nothing, and no regulator is going to build it for them.

Earnings feed in, contributions out

Push contractor earnings to Gigaverse via API or file and the app handles contribution tracking, Roth room and estimated-tax set-asides. Contributions fund from the contractor's own bank account, so you are never the payer of record.

SSO and white-label

Contractors sign in from your portal. The experience carries your brand; Gigaverse handles the account opening, KYC and custody relationship behind it.

Not a plan, not a mandate

A Roth IRA is the contractor's own account. There is no plan document, no employer contribution and no fiduciary role for you or your clients.

How partners are paid

Two models, and only two. Both are tied to the software, never to money moving into an account.

Revenue share on paid subscriptions

A percentage of subscription revenue from users who arrive through your integration and pay for the Gigaverse app. It is the same whether or not they ever open or fund a retirement account.

Flat per-seat / SaaS licence fee

You license the platform for your workers or clients at a fixed price per seat (or a flat annual fee) and can offer it to them free or bundled. No money changes hands based on what anyone saves.

We never pay

  • Per deposit or per dollar contributed
  • Per account opened or funded
  • Per enrollee or per rollover
  • Basis points or any percentage of assets
  • Any share of advisory fees

Why: Compensation that scales with money moving into a securities product, paid to someone who is not registered, is the fact pattern for unregistered broker activity under Exchange Act §15(a) and FINRA Rule 2040. Once Gigaverse is a registered investment adviser it also cannot share advisory fees with unregistered parties, and paid promotion falls under SEC Marketing Rule 206(4)-1 (written agreement and disclosure above $1,000 in any 12 months) plus state solicitor rules. Tying partner pay to software subscriptions and seats keeps every partner on the right side of those lines without needing a securities licence.

You are paid for software seats, never for accounts

Payroll platforms sit close to the money, which is exactly why our partner economics stay away from it. Gigaverse pays partners a revenue share on paid app subscriptions or charges a flat seat licence. There is no payment per contractor enrolled, per account opened or per dollar contributed, because compensation tied to securities transactions to an unregistered party is the Exchange Act §15(a) / FINRA 2040 fact pattern, and no payroll company wants a broker-dealer registration question on its cap table.

Common questions

Are 1099 contractors really excluded from state auto-IRA mandates?

Yes. CalSavers, OregonSaves, Illinois Secure Choice and the other state programs are employer mandates that cover W-2 employees. Independent contractors are not eligible participants through an employer under any of them, though individuals can sometimes enrol on their own.

Does offering this make our clients plan sponsors or ERISA fiduciaries?

A Roth IRA is an individual account, not an employer plan. There is no plan document, no employer contribution and no ERISA plan. That said, this is educational information, not legal advice, and your clients should confirm with their own counsel.

How do contributions move?

From the contractor's own linked bank account to their Roth IRA at the custodian. Your platform never holds or moves retirement money.

Who is the custodian?

A FINRA/SIPC-member broker-dealer. Gigaverse does not take custody of funds.

How long does an integration take?

Co-brand launches are measured in weeks, not quarters. API and SSO integrations depend on your team's bandwidth; we provide the spec, sandbox and a named engineer.
