How partners are paid
Two models, and only two. Both are tied to the software, never to money moving into an account.
Revenue share on paid subscriptions
A percentage of subscription revenue from users who arrive through your integration and pay for the Gigaverse app. It is the same whether or not they ever open or fund a retirement account.
Flat per-seat / SaaS licence fee
You license the platform for your workers or clients at a fixed price per seat (or a flat annual fee) and can offer it to them free or bundled. No money changes hands based on what anyone saves.
We never pay

- Basis points or any percentage of assets
- Any share of advisory fees
Why: Compensation that scales with money moving into a securities product, paid to someone who is not registered, is the fact pattern for unregistered broker activity under Exchange Act §15(a) and FINRA Rule 2040. Once Gigaverse is a registered investment adviser it also cannot share advisory fees with unregistered parties, and paid promotion falls under SEC Marketing Rule 206(4)-1 (written agreement and disclosure above $1,000 in any 12 months) plus state solicitor rules. Tying partner pay to software subscriptions and seats keeps every partner on the right side of those lines without needing a securities licence.

AICPA ET §1.520 permits a member to receive a referral fee or commission only with written disclosure to the client, and prohibits it entirely for attest clients. A flat seat licence your firm pays (or passes through at cost) is not a referral fee at all, so it sidesteps the disclosure and attest-client questions. Firms that prefer a subscription revenue share can still choose it, provided they make the §1.520 disclosure and exclude attest clients. Nothing Gigaverse pays is ever tied to deposits, accounts opened or assets.

Common questions
Does recommending Gigaverse make me a paid solicitor or promoter?
Under a seat licence, no fee flows from Gigaverse to your firm, so there is no promoter compensation to disclose under SEC Marketing Rule 206(4)-1 or state solicitor rules. If you instead elect a subscription revenue share, that is compensation for a referral to software, and we will require a written agreement and support your client disclosures. Confirm with your own counsel and state board.
Can I use this with attest clients?
Under a seat licence, yes, because no referral fee or commission is involved. AICPA ET §1.520 prohibits commissions and referral fees for attest clients, so firms taking a revenue share must exclude those clients.
Who holds the client's money?
Retirement accounts are held with a FINRA/SIPC-member broker-dealer that acts as custodian. Gigaverse never takes custody of client funds and your firm never touches them.
Is Gigaverse a registered investment adviser?
Not yet. Gigaverse AI, Inc. is pursuing SEC registration as an investment adviser. Until registration is effective, the app provides educational tools and account access only, not personalised investment advice.
What does the client see about my firm?
With co-branding, your firm's name and logo appear on the landing page and inside the app. With white-label, the client experience carries your brand end to end. Either way, we never publish your firm as a partner without written permission.
