The problem
Every advisory firm turns away or under-serves self-employed prospects who do not yet meet its minimum. They are sent to a robo, a brokerage app, or nothing, and the relationship is gone by the time they have assets. Referral-fee arrangements to fix this create solicitor-rule and fee-sharing problems you do not want.
A SaaS licence, not a solicitor deal
You license seats. We do not pay you for referrals and you do not pay us for clients. There is no fee sharing, so there is nothing to fit under the solicitor or cash-solicitation provisions of the Marketing Rule.
You keep the relationship
The client sees your firm's name. Gigaverse handles the retirement-account plumbing and self-employed tax tooling; when the client grows into your model, they are already yours.
Built for 1099 income
Quarterly estimated taxes, mileage and expense capture, Roth contribution room and Saver's Match eligibility are the daily problems of self-employed people, and they are what the app does.

How partners are paid
Two models, and only two. Both are tied to the software, never to money moving into an account.
Revenue share on paid subscriptions
A percentage of subscription revenue from users who arrive through your integration and pay for the Gigaverse app. It is the same whether or not they ever open or fund a retirement account.
Flat per-seat / SaaS licence fee
You license the platform for your workers or clients at a fixed price per seat (or a flat annual fee) and can offer it to them free or bundled. No money changes hands based on what anyone saves.
We never pay

Why: Compensation that scales with money moving into a securities product, paid to someone who is not registered, is the fact pattern for unregistered broker activity under Exchange Act §15(a) and FINRA Rule 2040. Once Gigaverse is a registered investment adviser it also cannot share advisory fees with unregistered parties, and paid promotion falls under SEC Marketing Rule 206(4)-1 (written agreement and disclosure above $1,000 in any 12 months) plus state solicitor rules. Tying partner pay to software subscriptions and seats keeps every partner on the right side of those lines without needing a securities licence.

An SEC-registered adviser cannot share advisory fees with unregistered parties, and paid solicitation is governed by Marketing Rule 206(4)-1 and state IAR registration. Gigaverse is pursuing RIA registration and structures advisor partnerships as a software licence precisely so that neither firm pays the other for clients. If your firm prefers a subscription revenue share, we can offer it, but that is compensation for promoting software and will require a written agreement, disclosure to clients, and a check of your state's solicitor rules.

Common questions
Does this make Gigaverse a solicitor for my firm, or my firm a solicitor for Gigaverse?
Under the seat-licence default, neither. No compensation flows for referrals. Your firm pays a software fee for seats, which is no different from licensing planning or CRM software. If you elect a revenue share instead, your firm would be compensated for promoting Gigaverse software and we treat that as a promoter relationship requiring a written agreement and disclosures.
Who provides advice to these clients?
Today, no one through the app. Gigaverse is pursuing SEC registration; until then the app provides educational content and retirement-account access only. Your firm remains free to advise the client under your own agreement.
Who is the custodian?
Accounts are held with a FINRA/SIPC-member broker-dealer. Gigaverse does not take custody, and your firm does not either.
Can we white-label instead of co-brand?
Yes. White-label puts your name and brand on the whole client experience. Co-brand is faster to launch and keeps Gigaverse visible as the software provider. Either way the underlying custody and disclosures are unchanged.
Will Gigaverse market to our clients?
No. Clients who arrive through your integration are not put into our general marketing, and we never publish your firm as a partner without written permission.
